Vendor Terms and Conditions – Aadikwik Effective Date: October 10, 2025 These Vendor Terms and Conditions (“Terms”) govern the relationship between Aadikwik Pvt. Ltd. (“Aadikwik,” “we,” or “us”) and any vendor, supplier, or partner (“Vendor,” “you”) providing goods or services to Aadikwik. By providing goods or services, you agree to these Terms. 1. Scope of Work The Vendor shall provide the goods or services as specified in the purchase order, agreement, or contract issued by Aadikwik. Any changes or additional work require written approval from Aadikwik. 2. Pricing and Payment All prices must be agreed upon in writing. Invoices must include the purchase order number and all relevant details. Payments will be made within [number of days, e.g., 30 days] of receipt of a correct invoice, unless otherwise agreed. 3. Delivery and Acceptance The Vendor shall deliver goods/services by the agreed date. All deliveries must meet the quality and specifications agreed upon. Aadikwik reserves the right to inspect, test, and reject any goods or services that do not comply. 4. Confidentiality The Vendor agrees to maintain the confidentiality of all proprietary information shared by Aadikwik. This obligation continues for [number of years, e.g., 3 years] after the termination of the business relationship. 5. Compliance The Vendor must comply with all applicable laws, regulations, and standards, including labor, safety, and environmental laws. 6. Warranties The Vendor warrants that: All goods/services are free from defects and conform to agreed specifications. The Vendor has the right to sell/provide the goods/services. 7. Indemnification The Vendor agrees to indemnify and hold Aadikwik harmless from any claims, losses, damages, or expenses arising from: Vendor’s breach of these Terms. Any injury or damage caused by Vendor’s goods or services. 8. Termination Aadikwik may terminate the relationship with immediate effect if the Vendor: Fails to meet quality, delivery, or compliance standards. Breaches any provision of these Terms. 9. Limitation of Liability Aadikwik’s liability for any claims arising from this agreement shall be limited to the amount paid to the Vendor for the specific goods or services giving rise to the claim. 10. Governing Law and Dispute Resolution These Terms are governed by the laws of India. Any dispute arising will be resolved through mutual discussion or, if necessary, in the courts of [City, e.g., Mumbai], India. 11. Miscellaneous These Terms constitute the entire agreement between Aadikwik and the Vendor. Any amendments must be in writing and signed by both parties.
